Welcome to WarleyHub. These Terms of Service ("Terms") govern your access to and use of the WarleyHub platform, website, mobile applications, and services (collectively, the "Service") operated by Ascend Leads, LLC ("Company," "we," "us," or "our").

1. Definitions

• "Agency" means an organization that subscribes to the Service to manage workforce staffing, services, or related operations.
• "Authorized User" means any individual granted access to the Service by an Agency.
• "Client" means organizations or individuals that receive services through the platform.
• "Worker" means professionals, contractors, or other service providers using the platform.
• "Content" means any information, data, text, or materials uploaded, submitted, or transmitted through the Service.

2. Account Registration

2.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

2.2 Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Types and Responsibilities

3.1 Agency Administrators

Agency administrators are responsible for:

• Managing their organization's account and subscription
• Inviting and managing team members
• Ensuring compliance with applicable laws and regulations
• Training users on proper platform usage
• Managing billing and payment information

3.2 Workers

Workers agree to:

• Provide accurate credential and qualification information
• Complete assigned work professionally and punctually
• Use the clock-in/clock-out features honestly
• Comply with all applicable background check requirements
• Maintain appropriate professional conduct

3.3 Clients

Clients agree to:

• Provide accurate service requests and requirements
• Review and approve timesheets promptly
• Pay for services as agreed
• Treat workers with respect and professionalism

4. Acceptable Use

4.1 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or attempt to breach security
• Harass, abuse, or harm other users
• Provide false or misleading information
• Use the Service for unauthorized commercial purposes
• Attempt to circumvent payment obligations
• Share login credentials with unauthorized parties
• Scrape or collect data without authorization
• Interfere with the Service's operation

4.2 Content Standards

All Content must:

• Be accurate and truthful
• Not contain discriminatory or offensive material
• Not violate privacy rights
• Not contain confidential information without authorization

5. Early Access, Payments and Billing

5.1 Early Access

WarleyHub is in an early-access period. During it, every feature is available at no cost and we don't collect payment details. Before paid plans begin, we'll tell you by email at least 30 days in advance. You'll never be charged unless you choose a paid plan.

If an Agency does not choose a paid plan once paid plans begin, its account becomes read-only: its users can still sign in, view and export its data, but cannot create new records. Nothing is deleted because of it.

5.2 Subscription Fees

Subscription fees apply only once paid plans begin, and only to an Agency that chooses a paid plan. They are billed in advance on a monthly or annual basis and are non-refundable except as specified in our Refund Policy.

5.3 Payment Processing

Payments are processed by third-party payment processors (Stripe and PayPal). By using the Service, you agree to the terms of service of the processor that handles your payment. We do not store complete credit card information on our servers.

5.4 Worker Compensation

Worker compensation is managed between Workers and their Agencies. The platform facilitates timesheet tracking and payroll integration but is not responsible for employment relationships or wage disputes.

5.5 Taxes

You are responsible for all applicable taxes related to your use of the Service. Fees quoted are exclusive of taxes unless otherwise stated.

6. Intellectual Property

6.1 Company Property

The Service, including all software, designs, text, graphics, and logos, is owned by Ascend Leads, LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

6.2 User Content

You retain ownership of Content you submit. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display the Content solely for the purpose of providing the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation to you.

7. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Disclaimers

8.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee uninterrupted or error-free operation.

8.2 Third-Party Services

The Service may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services.

8.3 User Interactions

We do not screen or vet Workers, Agencies, or Clients beyond basic verification. You are responsible for conducting your own due diligence when engaging with other users.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCEND LEADS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ascend Leads, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination does not affect obligations that accrued before termination.

11.2 Termination by Us

We may suspend or terminate your access for any reason, including breach of these Terms. We will provide notice when practicable.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve disputes informally by contacting us at legal@warleyhub.com.

12.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in Philadelphia, Pennsylvania (Philadelphia County), USA.

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

12.4 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any claim that is not subject to arbitration shall be brought only in the state or federal courts located in Philadelphia County, Pennsylvania.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
